Welcome to Nexifil. By accessing or using our website, services, proposals, quotations, reports, documents, and communications, you agree to comply with and be bound by these Terms & Conditions.
1. Company Information
Nexifil provides branding, digital transformation, marketing, AI automation, website development, content creation, consulting, and related business services.
2. Official Communications
All official quotations, proposals, agreements, invoices, reports, approvals, and company communications shall only be considered valid when issued from:
Any document, quotation, proposal, commitment, agreement, pricing, or communication sent from any other email address shall not be considered official, legally binding, or authorized by Nexifil unless explicitly confirmed through info@nexifil.com.
For verification and transparency purposes, official business communications may also include the shareholder’s designated email address in copy (CC).
Clients are responsible for verifying the authenticity of any document or communication received.
3. Financial Authority
Only the Company’s Shareholder shall have the authority to:
- Raise funds, investments, loans, or financing in the name of Nexifil.
- Enter into financial commitments on behalf of Nexifil.
- Negotiate or approve investment opportunities, partnerships involving financial obligations, or funding arrangements.
- Open, manage, or operate financial accounts related to the Company.
- Execute agreements that create financial liabilities for the Company.
No employee, contractor, consultant, partner, representative, or third party shall have the authority to solicit, receive, borrow, raise, or commit funds in the name of Nexifil unless expressly authorized in writing by the Shareholder.
Any financial commitment, investment request, fundraising activity, loan arrangement, or monetary transaction initiated without such authorization shall be deemed unauthorized and shall not be legally binding upon Nexifil.
4. Quotations & Proposals
- All quotations and proposals are subject to revision until formally accepted.
- Pricing may change without prior notice unless otherwise stated in writing.
- Project commencement is subject to written approval and agreed payment terms.
- Deliverables, timelines, and scope are defined within each proposal or agreement.
5. Intellectual Property
All concepts, strategies, designs, content, reports, software, source files, and materials created by Nexifil remain the intellectual property of Nexifil until full payment has been received unless otherwise agreed in writing.
6. Client Responsibilities
Clients shall provide accurate information, approvals, assets, and feedback necessary for project completion. Delays in client responses may affect timelines.
7. Limitation of Liability
Nexifil shall not be liable for indirect, incidental, consequential, or business losses arising from the use of its services, recommendations, or digital platforms.
8. Third-Party Services
Certain services may rely on third-party platforms, software, hosting providers, AI systems, advertising networks, or external vendors. Nexifil is not responsible for outages, policy changes, or service interruptions caused by third parties.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary business information shared during the engagement.
10. Amendments
Nexifil reserves the right to modify these Terms & Conditions at any time. Updates will be published on this website.
11. Governing Law
These Terms & Conditions shall be governed by the applicable laws of the United Arab Emirates.
